SpongeTech will have a rink-side permanent wall signage all season and SpongeTech’s products will be sold and marketed within grocery chain, Dominick’s, in conjunction with the Chicago partnership.

NEW YORK–(BUSINESS WIRE)–SpongeTech® Delivery Systems, Inc. (the “Company”) “The Smarter Sponge™”, (OTCBB: SPNGE), today announced that its shares of common stock were temporarily suspended from trading on the OTC Bulletin Board by the U.S. Securities and Exchange Commission (SEC) on Monday October 5, 2009 and expects the suspension to terminate at 11:59 p.m. EDT on Oct. 16, 2009. The Company and its auditors are in the process of finalizing the re-audit of its 2008 financial statements and the audit of its 2009 financial statements and anticipates on filing them with the SEC by October 16, 2009.

The SEC announced that trading was temporarily suspended because of questions that have been raised about the accuracy and adequacy of publicly disseminated information concerning among other things, the amount of sales and customer orders received by the Company, investment agreements entered into by the Company and the Company’s revenues as reported in its financial statements. In addition, the SEC’s announcement noted that the Company has not filed any periodic reports since its Quarterly Report on Form 10-Q for the period ended February 28, 2009.

As reported in the Company’s recent press release dated October 2, 2009, the delay in filing its Annual Report on Form 10-K for year ended May 31, 2009 is due to the Company’s former auditor having its registration revoked by the PCAOB (Public Company Accounting Oversight Board). As a result, the Company’s financial statements for the 2008 fiscal year is being re-audited and the financial statements for the 2009 fiscal year is being audited by the Company’s new auditing firm, Robison, Hill & Co.

Steven Moskowitz, the Company’s Chief Financial Officer, stated, “We were surprised to see that the staff of the SEC decided to suspend trading in our shares yesterday. We are cooperating fully with the SEC staff in connection with their investigation and are working diligently with our new auditors to finalize our Annual Report. NEW YORK–(BUSINESS WIRE)–SpongeTech® Delivery Systems, Inc. (the “Company”) “The Smarter Sponge™”, (OTCBB: SPNGE), today announced that the Company has filed a trademark infringement lawsuit against Spongetech, Inc. (“STI”) in the United States District Court for the Southern District of New York. The complaint alleges California-based company, STI knowingly and willfully appropriated the Company’s trademark “SpongeTech®” and solicited business specifically in New York under the Company’s trademark. In addition, the lawsuit alleges that STI’s CEO made statements to the New York Post that defamed the Company, as a result, injuring the Company’s reputation and exposing the Company to public hatred, contempt, ridicule, and/or degradation.

The Company is seeking permanent injunction barring STI from using the Company’s trademark, including such items as labels, signs, packaging, advertising and promotional material with the use of “SpongeTech®”. The Company is also seeking any profits derived from STI’s use of the Company’s trademark as well as award damages to the Company for injury to its reputation caused by STI’s defamatory statements.

Oct. 2, 2009 (Business Wire) — SpongeTech® Delivery Systems, Inc. (the “Company”) “The Smarter Sponge™”, (OTCBB: SPNGE), today announced that on September 25, 2009, the Company received a letter from the Financial Industry Regulatory Authority (FINRA) stating that, pursuant to NASD Rule 6530, the Company is required to file with the Securities and Exchange Commission its Annual Report on Form 10-K for the year ended May 31, 2009 (the “Annual Report”) by no later than October 16, 2009. If the Company does not comply with this requirement, the Company’s shares of common stock would not be eligible for continued quotation on the OTC Bulletin Board. The Company is requesting an appeal hearing with FINRA regarding the determination of the Company’s security listing eligibility.

The Company previously announced that the delay of its filing Form 10-K for FY ’09 was due to the Company’s former auditor’s difficulties with the PCAOB (Public Company Accounting Oversight Board). As a result, the Company’s financial statement for the 2008 fiscal year is being re-audited and the financial statement for the 2009 fiscal year is being audited by the Company’s new auditing firm, Robison, Hill & Co. The Company and its auditors are using their best efforts to complete the audit and file the Annual Report by no later than October 16, 2009.

After the submission of the 10-K/A for fiscal 2008 and the 10-K for fiscal 2009 year, Deliotte & Touche LLP will assume responsibility for the audit of the Company’s financials beginning with the fiscal 2010 year that began June 1, 2009.

SpongeTech(R) Submits Lawsuit Against GetFugu, Inc.

Oct. 1, 2009 (Business Wire) — SpongeTech® Delivery Systems, Inc. (“SpongeTech”) “The Smarter Sponge™”, (OTCBB: SPNGE), today announced that the Company has filed a lawsuit in the United States District Court for the Southern District of New York against GetFugu, Inc. (OTCBB: GFGU). The complaint alleges a breach of contract, breach of fiduciary duty, common law fraud, conversion, willful misconduct and unlawful appropriation of funds by GetFugu and that SpongeTech is seeking to recover funds which were delivered to GetFugu. An aggregate of $1,750,000 had been advanced to GetFugu in anticipation of the entry into a definitive investment agreement.

On September 8, 2009, SpongeTech had announced that it was going to invest $4 million into GetFugu’s mobile-based web search and e-commerce technology, and that SpongeTech would be the first company to utilize GetFugu’s innovative mobile search platform.

On September 24, 2009, SpongeTech announced the rescission of investment plans in GetFugu and that GetFugu had advised the Company that it currently did not have the funds to repay the $1,750,000 and that it was seeking alternative financing sources to fund a reimbursement.

SPNGE Partners with DiBella Entertainment for Oct. 2 ShoBox Event

Sep. 25, 2009 (Business Wire) — SpongeTech® Delivery Systems, Inc. (“SpongeTech”) “The Smarter Sponge™”, (OTCBB: SPNG – News), announced today that the Company has partnered with DiBella Entertainment (“DiBella”), a full-service sports and entertainment company and New York’s leading professional boxing promoter. SpongeTech is teaming up with DiBella to sponsor the October 2, 2009 tripleheader boxing event that will be telecast by Showtime as part of the ShoBox series.

The tripleheader will broadcast live from First Council Casino in Newkirk, Oklahoma. A card of this caliber, and generating this level of interest, made the timing of SpongeTech’s leap into the boxing ring a no brainer. For fans of almost any professional sport, the name SpongeTech, has become a part of their watching experience, with ads showing up on TV broadcasts and at the venues of the US Open, MLB, NFL, NBA, NHL games, among many others.
